Pennwood Saddlery Ltd – Trade Supplier (B2B)
These Terms & Conditions apply to all business customers purchasing from Pennwood Saddlery Ltd.
1. Orders
- Orders must be placed in writing (email, purchase order, or online).
- We may accept or decline any order.
- Minimum order values may apply.
- Once accepted, orders cannot be cancelled without written approval.
2. Prices
- Prices exclude VAT, duties, and shipping unless stated otherwise.
- International customers are responsible for all import taxes and customs fees.
- Prices may change before an order is accepted.
3. Payment
- Pro-forma payment is required unless a credit account is approved.
- Credit terms (if granted) are 30 days from invoice date.
- Late payments may incur interest and recovery costs.
- We may suspend supply if payments are overdue.
4. Delivery
- Delivery times are estimates only.
- Risk passes to the customer under the agreed Incoterms (e.g., EXW, FOB, CIF, DAP).
- Any shortages or damage must be reported within 48 hours of delivery.
5. Retention of Title
- Goods remain the property of Pennwood Saddlery Ltd until paid for in full.
- Until ownership passes, goods must be stored safely and not resold or pledged as security.
6. Product Quality
- Natural materials such as leather may vary in colour or texture.
- Minor specification changes may occur to improve quality or supply continuity.
7. Warranty
- Goods are warranted against manufacturing defects for 12 months.
- The warranty excludes wear and tear, misuse, and unauthorised repairs.
- Our liability is limited to repair, replacement, or credit.
8. Returns
- Returns require written authorisation.
- Goods must be unused, in original packaging, and suitable for resale.
- Restocking fees may apply.
9. International Compliance
- Customers are responsible for ensuring goods comply with local regulations in their destination country.
- Goods must not be resold into restricted or embargoed territories without approval.
10. Intellectual Property
- All branding, designs, and marketing materials remain our property.
- Use of our materials requires written permission.
11. Liability
- Our total liability is limited to the value of the goods supplied.
- We are not liable for indirect or consequential losses.
12. Force Majeure
- We are not responsible for delays caused by events outside our control.
13. Governing Law
- These Terms are governed by the laws of England and Wales.
- Disputes will be handled exclusively by the courts of England and Wales.
